End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("You", "Your") and Camis AI LLC ("We", "Our", "Us", the "Developer"). It governs your use of the Terminal Champion macOS application and any updates, upgrades, or supplements to it (the "App"). By installing, copying, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

If you installed Terminal Champion from the Mac App Store, your install is additionally governed by Apple's Licensed Application End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.

1. What This App Does (and Doesn't Do)

Terminal Champion is a terminal wrapper. It spawns real shells on your machine using the same PTY interfaces as any other terminal emulator, and renders the output in a visual intelligence layer (identity, context, memory, orchestration). Any command you type into a Terminal Champion tab — or that an AI agent running inside a Terminal Champion tab types on your behalf — is executed by your operating system exactly as if you had typed it into a plain terminal. Terminal Champion does not review, sanitize, simulate, or reverse commands. It does not know which commands are safe.

2. License Grant

Subject to your compliance with this EULA, We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded computers that you own or control, in accordance with the Apple Media Services Terms and Conditions or the license accompanying a direct-download build.

4. AI Agents and Third-Party Tools — Read This Carefully

Terminal Champion is designed to host AI coding agents (including, without limitation, Anthropic Claude Code, OpenAI Codex CLI, Google Gemini CLI, Aider, Moonshot Kimi Code CLI, and Alibaba Qwen Code CLI) and any other command-line tools you launch inside its terminal tabs. We do not build, operate, control, review, or endorse any of those third-party tools. When you use an AI agent inside Terminal Champion, that agent:

You are solely responsible for every action that any tool or agent running inside Terminal Champion takes on your system, on your data, on third-party services you have connected, and on any network you have access to. This includes, without limitation, actions taken by agents that you invoked, agents you left running, or agents operating in "auto-approve," "bypass permissions," or "dangerous" modes.

5. You Are Responsible for Backups

Terminal Champion and the tools running inside it can modify or delete any file you have permission to access. You are solely responsible for maintaining your own backups of your code, data, credentials, and any other information you value. We strongly recommend:

We provide features such as password scrubbing, environment badges, destructive-command heuristics, and safety tiers as convenience and defense-in-depth, but they are not guarantees. No feature in Terminal Champion can reliably prevent data loss. Back up your work.

6. Disclaimer of Warranty

The App is provided "As Is" and "As Available," with all faults, and without warranty of any kind. To the maximum extent permitted by applicable law, We disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the App will be uninterrupted, error-free, secure, free of harmful components, or compatible with any particular hardware, software, or configuration. We do not warrant that defects will be corrected, that the App will operate in combination with any other software, or that any information obtained through the App will be accurate or reliable.

We make no warranty whatsoever concerning the behavior of AI agents, third-party command-line tools, scripts, or any other code that you or others run inside the App.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will We, Our affiliates, licensors, contributors, or agents be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind, including without limitation damages for lost profits, lost revenue, lost business, lost data, loss of goodwill, business interruption, corrupted or destroyed files, unauthorized access, compromised credentials, damaged systems, or any other commercial or personal damages or losses, arising out of or related to your use of or inability to use the App, even if We have been advised of the possibility of such damages.

This limitation applies regardless of the legal theory on which the claim is based (contract, tort, strict liability, or otherwise), even if a limited remedy fails of its essential purpose.

To the maximum extent permitted by applicable law, Our total cumulative liability to you for all claims arising out of or relating to the App or this EULA will not exceed the greater of (a) the amount you paid Us for the App in the twelve months preceding the event giving rise to the claim, or (b) five U.S. dollars (US $5.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above limitations may not apply to you. In those jurisdictions, Our liability is limited to the smallest extent permitted by law.

8. Assumption of Risk

You expressly acknowledge and agree that your use of Terminal Champion — including any use involving AI coding agents, automated scripts, elevated privileges, production systems, or destructive commands — is undertaken at your sole risk. You assume full responsibility for evaluating each command before it is executed and for the consequences of each command that is executed, whether you typed it yourself or authorized an agent to type it.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Developer and Our affiliates, licensors, and contributors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the App; (b) any commands executed in or through the App, whether by you, by an AI agent acting on your behalf, or by any other process; (c) your violation of this EULA; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights, including intellectual property or privacy rights.

10. Updates and Availability

We may release updates, bug fixes, patches, or new versions of the App from time to time. Updates are delivered automatically through the Mac App Store for App Store installs, or through the in-app updater (Tauri updater plugin) for direct-download installs; in either case the user controls when an update is applied. Any update is governed by this EULA unless accompanied by a separate license, in which case the accompanying license controls. We do not guarantee that any particular feature will be preserved across updates.

11. Open-Source and Third-Party Components

The App incorporates open-source components, including without limitation components licensed under the MIT, Apache 2.0, BSD, and similar permissive licenses. Those components remain subject to their respective licenses, which are available on request. Nothing in this EULA restricts your rights under those third-party licenses with respect to the specific third-party components.

12. U.S. Government End Users

If you are a U.S. Government end user, the App is a "commercial item" as defined at 48 C.F.R. § 2.101, consisting of "commercial computer software" and "commercial computer software documentation." In accordance with 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202-1 through 227.7202-4, all U.S. Government end users acquire the App with only those rights set forth in this EULA.

13. Export Compliance, Sanctions, and Encryption

(a) U.S. export laws. The App, including any updates and components, is subject to the export control laws of the United States, including the Export Administration Regulations (EAR, 15 C.F.R. Parts 730–774) administered by the U.S. Department of Commerce, and the economic sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"). You agree to comply with all applicable U.S. and non-U.S. export, re-export, and sanctions laws and regulations.

(b) Restricted destinations. You may not download, install, use, export, re-export, or transfer the App, directly or indirectly, to:

You may not download, install, use, export, re-export, or transfer the App if you are listed on, or owned fifty percent (50%) or more by any person listed on, any U.S. Government list of restricted parties, including without limitation the Specially Designated Nationals and Blocked Persons List, the Foreign Sanctions Evaders List, the Sectoral Sanctions Identifications List, the Denied Persons List, the Entity List, the Unverified List, or the Military End-User List.

(d) End-use restrictions. You may not use the App in connection with any prohibited end use, including without limitation the design, development, production, or use of nuclear, chemical, or biological weapons; missile technology; or any other end use prohibited by applicable export-control or sanctions regulations.

(e) Encryption. The App incorporates encryption functionality, including SSH protocol support, and is subject to U.S. encryption export controls. You may not export, re-export, or transfer the App in violation of those controls.

(f) Your representations. By installing or using the App, you represent and warrant that: (i) you are not located in, organized under the laws of, or ordinarily resident in any country, region, or territory described in subsection (b); (ii) you are not a national of any such country, region, or territory acting on its behalf; (iii) you are not listed on, or owned fifty percent (50%) or more by any person listed on, any list described in subsection (c); and (iv) your use of the App will not violate any export-control or sanctions law of any jurisdiction.

If you obtained the App from the Mac App Store, the following additional terms apply and are expressly acknowledged by you:

15. Governing Law and Jurisdiction

This EULA is governed by the laws of the State of California, United States of America, without regard to its conflict-of-laws principles. You and the Developer agree that the state and federal courts located in the State of California will have exclusive jurisdiction over any dispute arising out of or relating to this EULA, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this EULA.

Nothing in this Section 15 limits any mandatory consumer-protection rights available to you under the laws of your place of residence.

16. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies in your possession or control. Sections 4 through 9, 13, 14, 15, and 17 survive any termination of this EULA.

17. Miscellaneous

Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Developer with respect to the App and supersedes all prior or contemporaneous understandings.

Severability. If any provision of this EULA is held to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of this EULA will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer this EULA. We may assign this EULA without restriction, including in connection with a merger, acquisition, or sale of assets.

Changes. We may update this EULA from time to time. Material changes will be noted in the App's release notes and by updating the "Last updated" date at the top of this document. Your continued use of the App after any update constitutes acceptance of the updated EULA.
